THAT the Agenda for the Council meeting of October 8, 2024 be confirmed.

THAT Council move into closed session to consider: • advice that is subject to solicitor-client privilege, including communications necessary for that purpose; and • litigation or potential litigation, including matters before administrative tribunals, affecting the municipality or local board. Pursuant to Section 239 (2) (f) & (e) of the Municipal Act.

THAT Council receive the confidential independent legal opinion prepared by an external law firm (Loopstra Nixon), as directed by Council on September 10, 2024 via Motion 2024-395.

THAT the presentation by Shannon Coull, Executive Director, Prince Edward County Memorial Hospital Foundation, Stacey Daub, president and CEO of Regular Council Minutes October 8, 2024 Adopted as circulated to Council on October 22, 2024 Quinte Health and Nancy Parks, Chair, 'Back the Build' campaign regarding the 'Back the Build' pledge instalment be received.

THAT the deputation by Dan Sullivan, Prince Edward County Winegrowers Association regarding the County Winegrowers Association industry update be received.

THAT the comments from the audience be received.

THAT the Council and Committee Meeting Schedule for 2025 (Attachment 1) be amended to reschedule the November 11, 2025 Council meeting to November 10, 2025.

THAT recommendation 4 be amended to read as follows: Regular Council Minutes October 8, 2024 Adopted as circulated to Council on October 22, 2024 THAT Council approve Statutory and Advisory Board / Committee meetings to hold 50% of the meetings in a hybrid manner, and 50% of the meetings electronically.

THAT item 12.2, 12.3, 12.4, 12.5, 12.6, 12.7, 12.8, 12.9, and 12.10 be approved by consent.

1. THAT Council receive report FIN-15-2024; Regular Council Minutes October 8, 2024 Adopted as circulated to Council on October 22, 2024 2. THAT Council approve the recommendation to award Procurement PEC- OPS-0010-2024 for Winter Maintenance, based on the fixed rate pricing received, to Terra Vista Landscape Firm; and 3. THAT a By-law, as listed on this agenda, to authorize the execution of an agreement between the County of Prince Edward and Terra Vista Landscape Firm be approved.
